Background/Description of the Disclosure

This is to inform the Exchange that the Corporation received information that Rizal Commercial Banking Corporation and RCBC Capital Corporation jointly sold its 1,375,459,989 common shares of stock in the Corporation equivalent to 89.9% through a block sale last 27 December 2013 at an average price of PhP0.7961 per share in favor of Philippine Business Bank Inc.- Trust and Investment Center as investment managers acting on behalf of RYM Business Management Corporation and other investors.
