Update on Placing and Subscription Transaction - Execution of Agreement to Subscribe
Background/Description of the Disclosure
This is in connection with the placing and subscription transaction earlier disclosed and being undertaken by Josefina Multi-Ventures Corporation ("JMVC") of Pryce Corporation (PPC) shares. JMVC had sold twenty-four million five hundred thousand (24,500,000) PPC shares at five pesos (Php 5.00) per share last December 7, 2016 under the placing tranche as earlier disclosed to the Philippine Stock Exchange. We advise that JMVC, under the subscription tranche, executed today an Agreement to Subscribe to the same number of shares, or 24,500,000 shares, at the same placing price of Php 5.00 per share. Proceeds of the sale under the placing tranche equivalent to Php 122,500,000.00 will be deposited by JMVC to the account of the Corporation once JMVC receives the settlement today, December 12, 2016, or three days after trading date.
