Background/Description of the Disclosure

The Board of Directors of Aboitiz Equity Ventures, Inc. (the “Company”) approved at today’s regular board meeting:

(1) The creation of the Board Related Party Transaction Committee (the “Board RPT Committee”) to monitor, review, and approve material related party transactions among related parties to ensure that such transactions are conducted on an arm’s length basis and at market rates.

The first members of the Board RPT Committee shall be appointed during the Company’s 2017 Organizational Meeting on May 15, 2017.
