Background/Description of the Disclosure
Pursuant to a Circular Resolution of the Board of Directors of the Corporation approving the terms of the offer of up to 70 Million Megawide preferred shares, including the dividend payment of March 3 of each year, the Board set May 10, 2017 as the record date. The cash dividend is equal to Php1.75625 per share or a total of Php70,250,000.00 out of the unrestricted retained earnings of Megawide as of December 31, 2016. This is also in connection with the disclosure that cash dividends will be payable on March 3, June 3, September 3 and December 3 of each year stated in page 21 of the Prospectus for Megawide’s Preferred Shares Follow-On Offering and in a disclosure dated November 14, 2014.
