Clarification of News Report
This is to clarify the news segment entitled “Money talks” published in The Philippine Star on May 19, 2017. The segment reported in part that: “The Philippine Stock Exchange could not hide its annoyance with Megawide Construction over its disclosure on its rescheduled annual shareholders’ meeting, saying that the record date and even the information statement that it had submitted failed to conform with the PSE requirements. “The publication of this (Megawide) disclosure is without prejudice to any action that the Exchange may undertake in relation to the matter,” the PSE said.” We confirm that Megawide Construction Corporation (the “Company”) filed its Information Statement and its Notice of Annual Stockholders’ Meeting (“Notice”) with the Philippine Stock Exchange (“PSE”) on May 17, 2017. Upon filing, the PSE Disclosures Department informed the Company that the Notice was sent short of the prescribed ten (10) trading day period from its record date. Thus, the Notice and the Information Statement (which likewise includes a Notice and Agenda for the Annual Stockholders’ Meeting) both appear with the following statement as the PSE’s remarks: “Please note that the record date disclosed below for Megawide Construction Corporation’s (“MWIDE”) Annual Stockholders’ Meeting is not in compliance with the requirement under Section 7 of the Disclosure Rules. The publication of this disclosure is without prejudice to any action that the Exchange may undertake in relation to the matter.” We clarify that the alleged non-compliance pertains only to the filed Notice with Section 7 of the Disclosure Rules, as discussed above. We further clarify that there has been no rescheduling of the Company’s Annual Stockholders’ Meeting. While the Company’s By-Laws indicate that its Annual Stockholders’ Meeting shall ideally be held on June 30, the Board of Directors elected to hold this year’s Meeting on another date for an anticipated lack of quorum on June 30, 2017. We trust that the foregoing is sufficient to address the matter raised in the news segment. Thank you.
