The following are the results of the Annual Stockholders’ Meeting of Shakey's Pizza Asia Ventures Inc. ("PIZZA") held today, July 20, 2017, at the Marco Polo, Ortigas Center, Pasig City.

Mr. Enrique A. Gomez, Jr. and Ms. Lisa G. Cheng were also elected as Director and Independent Director, respectively. However, since PIZZA at present has only 7 board seats, the elections of Mr. Gomez and Ms. Cheng to the board will only be effective upon the Security and Exchange Commission’s approval of the increase in number of board seats. The stockholders present approved and ratified the amendment of the Articles of Incorporation to increase the number of directors to nine (9) and the amendment of the By-Laws of the Corporation to comply with the Code of Corporate Governance for Publicly-Listed Companies (SEC Memorandum Circular No. 19, series of 2016).
