Memorandum of Understanding on Renewable Energy Projects
Background/Description of the Disclosure
The Company executed a Memorandum of Understanding with China Energy Engineering Group Guangdong Power Engineering Co., LTD. (GPEC). The purpose of the MUO is to confirm that both parties have an interest in developing renewable energy projects in the Philippines as identified by MRC Allied, Inc. GPEC is a foreign company based in Guangzhou in China which is engaged in the business of exploration, development and construction of energy projects. The MOU has the following features: 1. GPEC will conduct a due diligence for a period of one year from MUO signing. 2. The purpose of the due diligence is to allow GPEC to make a decision to pursue renewable energy projects with MRC. 3. The parties are bound by the terms and confidentiality while the MUO is in force and within one year thereafter.
