Subject of the Disclosure
Memorandum of Understanding on Solar Energy Projects.
Background/Description of the Disclosure
The Company executed a Memorandum of Understanding with Uni Solar Inc. (Uni Solar). The purpose of the MOU is to confirm that both parties have an interest in developing Solar Photo Voltaic Rooftop projects in the Philippines as identified by Uni Solar. Uni Solar is a company based in the Philippines which is engaged in the business of design, global sourcing, local distribution, manufacturing, and sales of quality and environment-friendly solar power products especially in solar photo voltaic (pv) for rooftops. The MOU has the following features: 1. MRC Allied, Inc. will conduct a due diligence for a period of one year from MOU signing. 2. The purpose of the due diligence is to allow MRC to make a decision to pursue solar photo voltaic (pv) rooftop projects with Uni Solar. 3. The parties are bound by the terms and confidentiality while the MOU is in force and within one year thereafter.
