Solar Philippines Tarlac Corporation Power Supply Agreement

Background/Description of the Disclosure

In support of renewable energy and after the conduct of a Competitive Selection Process, Manila Electric Company (MERALCO) has executed a Power Supply Agreement (PSA) with Solar Philippines Tarlac Corporation (SPTC) for the sale and purchase of solar power at a headline rate of PhP2.9999/kWh from the solar power plant it is currently constructing in Concepcion, Tarlac. This rate is significantly lower than the prevailing Solar Feed-In Tariff rates and a welcome development for consumers.

Under the PSA, SPTC undertakes to supply to MERALCO electric energy generated by its solar power plant corresponding to: (i) 75 MW (AC, net) up to 85 MW (AC, net) from the 1st to 5th Contract Years; and (ii) 85 MW (AC, net) from the 6th to 20th Contract Years.

Effectivity of the PSA is upon approval by the Energy Regulatory Commission (ERC). Both parties are committed to file the ERC application for approval of the PSA on or before October 20, 2017 and secure the ERC’s issuance of a provisional authority, in time for an implementation of the PSA by January 2018.
