Background/Description of the Disclosure
The Company is submitting to the Exchange a copy of the Permit to Sell dated November 20, 2020 for the offering of Series 2-K Preferred Shares consisting of 133,333,400 Series “2-K” Preferred Shares with an oversubscription option of up to 133,333,267 Series “2-K” Preferred Shares (the “Offer Shares”). The Offer Shares shall be issued under the 533,333,334 Series 2 Preferred Shares Shelf Registration of the Company covered by MSRD Order No. 13, series of 2020.
