Subject of the Disclosure

Investment Contract Entered by IP E-Game Ventures, Inc.’s subsidiary, New Wave Strategic Holdings Limited

Background/Description of the Disclosure

On 23 November 2020, IP E-Game Ventures, Inc.’s (the “Corporation”) 100% owned subsidiary, New Wave Strategic Holdings Limited, (the “Subsidiary”), signed initial documentation with Emissary Capital Growth Fund 1 LLP, (“Emissary”), a Malaysian entity, to set up a US $50 million fund for the ASEAN market. This fund will particularly target technology companies requiring growth capital in order to scale across ASEAN market with specific linkage or presence in Malaysia.
The Subsidiary will invest up to $7.5 million USD as a limited partner and has partnered with Emissary to set-up the General Partner, which shall manage the fund’s investment decisions. The Subsidiary’s purpose is geared towards building a stronger Malaysia-Philippines corridor for technology and venture capital.
One of the Corporation and Subsidiary’s directors, Mr. Enrique Gonzalez, is also a partner of SB Kaikaku Fund, which has invested in early stage technology companies in the United Stated and South East Asia.

Mr. Martin Lichauco, another director of the Corporation, has joined the board of directors of the Subsidiary. Due to his successful track record in the venture capital and private equity space, he was invited by the Subsidiary and has accepted his appointment as director.


The Corporation’s affiliate, IP Ventures Inc (formerly IPVG) has seeded over a dozen start-ups in the Philippines. The Subsidiary is specifically looking to develop synergies with this network of company for expansion across ASEAN with establishment of a presence in Malaysia and the Philippines.


The Corporation notes that the aforesaid investment is still subject to definitive documentation and closing condition
