Subject of the Disclosure
Completion of the Deed of Company Arrangement (DOCA) between Silver Heritage Group Limited (SVH) and HatchAsia, Inc. (HAI) via its wholly-owned Australian Subsidiary (HAI is a company that is 18.98% owned by DFNN Inc.)
Background/Description of the Disclosure
This disclosure is in reference to DFNN unit HatchAsia, Inc.’s (HAI) takeover of Silver Heritage Group Limited (SVH), a corporation listed in the Australian Stock Exchange (ASX:SVH). Today, DFNN was informed that on January 22, 2021 KPMG, Deed Administrators of SVH disclosed to the Australian Stock Exchange (ASX) the completion and execution of the Deed of Company Arrangement (DOCA) effecting the acquisition of 92% of the issued share capital of the latter. Now that the purpose of the DOCA has been executed and terminated, control of the company is now returned to the newly appointed directors. DFNN affiliate HAI is an entity engaged in building solutions for the FINTECH, gaming, payment solutions for utilities, and other various industries through innovative technology and business process management, payment solutions, and retail gaming outlet management consultancy. HAI is 18.98% owned by DFNN. Additional information will be disclosed to the Philippine Stock Exchange as necessary.
