Other Relevant Information

The authorized capital stock of Steniel Manufacturing Corporation (the "Corporation") was increased from Php1,000,000,000 divided into 1,000,000,000 shares at Php1.00 per share to Php2,000,000,000 divided into 2,000,000,000 shares at Php1.00 per share. 418,812,081 common shares were subscribed to out of the capital increase, resulting in the increase of the Corporation's total issued and outstanding common shares from 1,000,000,000 to 1,418,812,081.

Please be advised that as of 31 May 2021, the following transactions have not yet been recorded in the books of the Corporation as the Certificates Authorizing Registration therefor have not yet been issued by the Bureau of Internal Revenue:

1. Private sale between Steniel (Netherlands) Holdings B.V. (as seller) and Greenkraft Corporation, Golden Bales Corporation, Corbox Corporation, Rex Chua, and Clement Chua (as buyers) involving 649,908,308 common shares of the Corporation, broken down as follows:

a, Greenkraft Corporation - 216,679,430
b. Golden Bales Corporation - 194,972,492
c. Corbox Corporation - 194,972,492
d. Rex Chua - 21,641,947
e. Clement Chua - 21,641,947

2. Acquisition of 11,780,533 common shares of the Corporation tendered by stockholders during the Mandatory Tender Offer conducted as a consequence of the private sale.
