Reason for requesting extension to submit Annual Report

A Brown Company, Inc. would like to request for extension of deadline to submit its SEC Form 17- A (Annual Report) for 2020. The Company’s Financial Statements are yet to be finalized including the quality assurance review of its external auditor, SyCip Gorres Velayo & Co. Furthermore, since the financial portions of the Annual Report will be derived from the contents of the financial statements, the Company is constrained to defer the filing of its entire SEC Form 17-A, together with the 2020 Audited Financial Statements and 2020 Sustainability Report. The Company hereby undertakes to submit the report on or before the deadline prescribed by the SRC Rule.

The Company undertakes to submit the report within fifteen (15) calendar days after the prescribed deadline or upon submission of the report to the Securities and Exchange Commission, whichever is earlier.
