Reason for requesting extension to submit Quarterly Report

A Brown Company, Inc. would like to request for extension of deadline to submit its SEC Form 17- Q (Quarter Report) for the 1st Quarter of 2021. The Company’s 2020 Financial Statements are yet to be finalized including the quality assurance review of its external auditor, SyCip Gorres Velayo & Co. Furthermore, since the financial portions of the Annual Report will be derived from the contents of the financial statements, the Company is constrained to defer the filing of its entire SEC Form 17-A, together with the 2020 Audited Consolidated Financial Statements and 2020 Sustainability Report. Thus, the Company will not be able to file its SEC Form 17-Q (Quarter Report) – 1st Quarter 2021 on the prescribed date of May 17, 2021 due to delay of the finalization of the 2020 Audited Consolidated Financial Statements. The Company hereby undertakes to submit the report on or before the deadline prescribed by the SRC Rule.

The Company undertakes to submit the report within five (5) calendar days after the prescribed deadline or upon submission of the report to the Securities and Exchange Commission, whichever is earlier.
