Share Buyback Transaction.

Background/Description of the Disclosure

The Board of First Philippine Holdings Corporation (“FPH”) approved on July 9, 2020 an extension of its common shares buy-back program from July 2020 until July 2022. This program was originally approved in July 2010 and has been extended for successive two-year periods, being scheduled to run until July 2020 before the extension.

The Board approved on July 4, 2019 an additional allotment of P5 Billion for its common shares buy-back program. This was in addition to the interim additional allotment of P750 Million approved by the Executive Committee last 27 June 2019.

As of November 22, 2021, a total of 115,922,655 shares have been bought under the program for a total cost of P7,801,791,847.00.
