Background/Description of the Disclosure
Please be advised, further to our disclosure dated 06 September 2021, that Pacific Online Systems Corporation (LOTO), together with its joint venture partners Philippine Gaming Management Corporation (PGMC) and International Lottery & Totalizator Systems, Inc. (ILTS), has signed today, 01 December 2021, with the Philippine Charity Sweepstakes Office (PCSO) the Memorandum of Agreement for the for the Five (5) Years Lease of the Customized PCSO Lottery System, resulting from the successful conduct of a public bidding of what is also known as the ‘2021 PLS Project’ under PCSO's SBAC Contract No. 2021-01.
Other Relevant Information
As previously disclosed: (i) The joint venture was entered into with the following participation by the parties thereto: LOTO (50%), PGMC (49%), and ILTS (1%). (ii) The benefits and costs to the joint venture will be shared in accordance with the parties' respective participation. (iii) LOTO and PGMC are currently the equipment lessors to PCSO of the online lottery systems being used by the latter for its lotto operations throughout the Philippines. ILTS is the equipment supplier of PGMC.
