Clarification of News Report

1. Effects on the business, operation and financial condition of Berjaya Philippines Inc. (“BCOR”) the said order;

We confirm that the Department of Tourism (DOT) issued a Notice of Decision dated 03 January 2022 rendered by the Office of Tourism Standards and Regulation, Standard Monitoring and Enforcement Division of the Department of Tourism in In the Matter of the Investigation Report of DOT-NCR against Berjaya Hotel Makati, DOT-CMPL-NCR-2022-001 whereby the Berjaya Hotel was suspended for three months and fined an amount equivalent to twice the rack rate of its most expensive room.
The Order is appealable and Berjaya Hotel will appeal the order within the 15-day period provided for appeal by the DOT. We have been informed by the DOT that while the appeal has not been resolved the suspension is not in effect.
In an article published by Business Mirror on 05 January 2022, (https://businessmirror.com.ph/2022/01/05/berjaya-hotel-gets-slap-on-the-wrist-for-letting-poblacion-girl-skip-quarantine/) it was reported that the DOT Undersecretary for Legal Affairs and Special Concerns Edwin R. Enrile stated through a Viber message to the Business Mirror: “Unfortunately, there is a period to appeal it.”
“The hotel, however, shall remain open until DOT’s order becomes final and executor”. This was confirmed by DOT Undersecretary for Legal Affairs and Special Concerns Edwin R. Enrile, in a Viber message to the Business Mirror: ‘Unfortunately, there is a period to appeal it.’ The Hotel 15 working days to appeal it.”
Earlier today, the Makati City Hall issued an order closing down Berjaya Makati Hotel’s operations based on the suspension order issued by the Department of Tourism. Berjaya will appeal the Order issued by the City on the ground that the suspension by the DOT is not in force until it is final and appeals are completed.
We note that the suspension issued by the DOT is premised on a violation of Republic Act No. 13322 otherwise known as the “Mandatory Reporting of Notifiable Disease and Health Events of Public Health Concern Act” (R.A. 13322). However, there is nothing in R.A. 13322 ths is applicable to the Hotel.
Our lawyers have found no law that penalizes a hotel for not reporting a guest who jumps quarantine. There is nothing in R.A. 13322 that is applicable to the Hotel. We must be accorded due process and be allowed to explain before any penalty is imposed. We are entitled to our day in court or an administrative process as well as an appeal.
We have 18 covid positive guests at the hotel currently and 80 other guests in quarantine. We have not been told how the guests will be taken cared of. We are also one of the very few hotels that is capable of serving halal cuisine. We await how the government addresses the needs of the guests and the upkeep and maintenance of the hotel during the period of suspension.
The revenue derived from Berjaya Hotel is not material as it accounts to less than 0.50% of Berjaya Group’s revenue.

2. Statement as to the steps to be taken, if any, to safeguard the interests of any independent shareholders;
The interests of the independent and minority shareholders are protected or safeguarded as the Issuer has income from the United Kingdom, the vehicle sales business, and other various investments.
