Quarterly Progress Report on the Use of Proceeds from Solar Philippines Corporation's (SPNEC) Initial Public Offering (IPO)

Background/Description of the Disclosure

We refer to the Initial Public Offering (“IPO”) of 2,700,000,000 common shares of Solar Philippines Nueva Ecija Corporation (the “Company”), which were listed on the Philippine Stock Exchange on 17 December 2021 together with the Company’s existing 5,424,350,005 common shares.

Details of the application of the proceeds of the IPO as at and for the quarter ended 31 December 2021 are disclosed in the following documents attached hereto:

(i) SEC Form 17-C dated 13 January 2022 signed by the Company’s Treasurer,
(ii) Certification on the Application of IPO Proceeds Quarterly Summary dated 13 January 2022 signed by the Company’s Treasurer, and
(iii) Agreed-Upon Procedures Report on Quarterly Progress Report on the Application of Proceeds from Initial Public Offering dated 12 January 2022 issued by the Company’s external auditor, SyCip Gorres Velayo & Co.
