Background/Description of the Disclosure
On 15 November 2021, the Company signed Subscription Agreements with the following minority shareholders of NorthWind Power Development Corporation for the following number of shares in the Company at a price of Php 11.32 per share, as disclosed by the Company on 23 November 2021 under Report No. C07926-2021. 1. Niels Jacobsen – 16,767,108 2. Ferdinand A. Dumlao – 41,375,371 3. Jose Ildebrando B. Ambrosio – 1,956,209 4. Laura Baui – 1,956,132 5. Kresten B. Jacobsen – 13,972,590 6. Kia Jacobsen – 13,972,590 The subscribed shares were issued to the above shareholders on 29 November 2021, and have been duly recorded in the books of the Company, as confirmed by the Company's Stock Transfer Agent. In view of the foregoing issuance of shares, the number of the Company's issued and outstanding common shares are 38,330,338,177 and 38,315,838,177, respectively. The Company has a total of 14,500,000 treasury shares.
