Subject of the Disclosure

This refers to the conduct of hearing for the arraignment in relation to the alleged violation of the Anti-Dummy Law case that was filed against the directors of CREIT, namely: Mr. Edgar B. Saavedra, Mr. Oliver Y. Tan, Mr. Manuel Louie B. Ferrer, and Mr. Jez G. Dela Cruz in their capacity as Directors of GMR Megawide Cebu Airport Corporation.

Background/Description of the Disclosure

This refers to the case, filed against the following directors of Citicore Energy REIT Corp. (“CREIT”) in their capacity as Directors of GMR Megawide Cebu Airport Corporation (“GMCAC”):

a. Mr. Edgar B. Saavedra – Chairman of CREIT;
a. Mr. Oliver Y. Tan – Director, President, and CEO of CREIT;
b. Mr. Manuel Louie B. Ferrer – Director of CREIT; and
c. Mr. Jez G. Dela Cruz – Director and Treasurer of CREIT,

(hereinafter, the “Respondents”).

The case originated from a complaint dated 30 September 2020 filed against several individuals, including the Respondents, for alleged violations of Republic Act (“R.A.”) No. 3019, the Anti-Dummy Law, and R.A. No. 6713, for supposedly handing the operation, administration, and management of the Mactan Cebu International Airport (“MCIA”) to foreign nationals in violation of the Constitutional prohibition on having foreign nationals as executive and managing officers of a public utility. MCIA is vested in GMCAC, a consortium led by Megawide Construction Corporation (“Megawide”) and the GMR Infrastructure Limited. The case is currently pending before the Regional Trial Court of Lapu-Lapu City (“RTC”).

The Respondents are common directors of Megawide and CREIT.

During the 28 March 2022 hearing of the Anti-Dummy Law case for the arraignment of the Respondents, the Respondents entered a plea of "not guilty" to the alleged violation of the Anti-Dummy Law. Notwithstanding this arraignment, the Respondents recently filed a Motion to Quash stating that the Information does not allege an offense and considering the signing into law of Republic Act No. 11659, otherwise known as the Amended Public Service Act, has rendered the legal issue at hand moot and academic.

The RTC gave the public prosecutor a period of (10) days from the hearing date to file his/her comment/opposition to the Motion to Quash. Thereafter, counsel for the Respondents was given a period of five (5) days from receipt of the comment/opposition to file a reply. The hearing for the Motion to Quash is set on 25 April 2022.

The Respondents will diligently respond to this case in the proper forum and continue to abide by the judicial process.
