This is with reference to Ever-Gotesco Resources and Holdings, Inc.’s (“EVER” or the “Company”) disclosure under Company Announcement No. C03848-2022 dated May 25, 2022.
In the said disclosure, the Company stated that:
“During the meeting of the Board of Directors of EVER GOTESCO RESOURCES AND HOLDINGS, INC. (“EGRHI” or the “Company”) held on May 24, 2022, the following were approved:
a) Decrease of the Company’s authorized capital stock to Php2.5 billion divided into 25 billion shares with a par value of Php0.10 to do quasi reorganization to eliminate deficit.
b) Increase in Authorized Capital Stock to up to Php7.5 billion to raise capital to fund expansion of our new business ventures.
c) Change the Company’s name to EVERWOODS GREEN RESOURCES AND HOLDINGS, INC.
d) Conduct of Annual Stockholders' Meeting pursuant to the by-laws of the Company on Aug. 26, 2022”
Pursuant to the PSE Rules on Quasi-Reorganization, the Exchange will implement a one (1) hour trading halt on EVER’s shares today, May 25, 2022.
The Exchange will inform the Trading Participants and the investing public of further developments on the matter.
