2007 Private Placement Transactions

On September 27, 2007, the Board of Directors (the “Board”) of Basic Energy Corporation (“BSC” or the “Company”) approved the subscriptions to an aggregate of 990,000,000 BSC shares of stock (“PP1 Shares”), at a subscription price of Php0.25 per share, or a total transaction value of Php247,500,000.00 by the subscribers mentioned above excluding the Meta subscription. The said subscriptions were fully paid in 2021.


Meta Subscription

On May 31, 2018, the Company’s Board approved the subscription of Meta to 106,892,000 BSC shares (“PP2 Shares”), at the subscription price of Php0.25 per share, or a total transaction value of Php26,723,000.00. The said subscription were fully paid in 2018.

As of November 3, 2022, the Company has complied with all applicable requirements for the listing of the PP1 Shares and PP2 Shares.

The number of BSC’s listed common shares will be accordingly adjusted on listing date.
