Subject of the Disclosure
Approval of the Board of Directors of Alternergy Tanay Wind Corporation ("ATWC") and the Board of Directors of Alabat Wind Power Corporation ("AWPC") in respect of the assignment of Wind Energy Service Contract ("WESC") No. 2019-09-134 covering the municipalities of Alabat, Perez and Quezon.
Background/Description of the Disclosure
The Alabat Onshore Wind Project is currently subsumed under the portfolio of Alternergy Tanay Wind Corporation ("ATWC"), a 100%-owned subsidiary of Issuer, ALTER. Earlier this year, the SEC approved the incorporation of Alabat Wind Power Corporation ("AWPC"), a subsidiary of Pililla AVPC Corporation ("PAC"), which, in turn is a sub-holding for ALTER's Wind Projects and 100%-owned by ALTER and, as such, is an affiliate of ATWC. AWPC is a special purpose vehicle ("SPV") particularly incorporated to develop, construct and operate the Alabat Onshore Wind Project. On a meeting of the Board of Directors of both ATWC and AWPC conducted on March 28, 2023, the Deed of Assignment of the Alabat WESC from ATWC to AWPC is approved. Attached are the respective Secretary's Certificates for ATWC and AWPC, approving the assignment.
