Subject of the Disclosure
Updates on the Memorandum of Agreement signed with Menlo Capital Corporation and MRC Allied, Inc.dated February 27, 2023.
Background/Description of the Disclosure
We write in connection with our PSE Disclosure, dated February 27, 2023, Material Information/Transactions PSE Form 4-30 and on April 4, 2023 the company disclosed the Updates on Corporate Actions/Materials Transactions/Agreement for the Memorandum of Agreement signed with Menlo Capital Corporation and MRC Allied, Inc. As an update, the Parties to the Memorandum of Agreement have already received reports from their respective legal consultants of their review of the proposed Terms and Conditions for the acquisition by MRC of Menlo’s 500 Million Shares of Stocks with Philippine Telegraph & Telephone Corporation. However, there are certain terms and conditions, including the purchase price, have yet been mutually agreed upon by the parties. Considering the complexity of the remaining terms and conditions yet to be agreed upon, the parties mutually agreed to extend the execution of the Terms of Reference to another sixty (60) days. The parties further agreed to move the original closing period to another date to be determined by the parties during the execution of the Terms of Reference.
