Background/Description of the Disclosure
Viper Energy Corp. shall have an Authorized Capital Stock of Ten Million Pesos (PhP10,000,000.00). DWC will subscribe to Two Million (2,000,000) shares with a par value of One Peso (PhP1.00) per share or a total of Two Million Pesos (PhP2,000,000.00) Viper Energy Corp. shall be a wholly-owned subsidiary of DWC and will be a holding company primarily for solar energy assets in its operating sites and also for future solar energy projects that the DWC Group may undertake.
Other Relevant Information
Out of the total subscription, the Corporation shall pay Two Million Pesos (PhP2,000,000.00). This subscription shall be conditioned on the approval of the Securities and Exchange Commission of the Application for Incorporation of Viper Energy Corp.
