In their respective meetings on April 28, 2023 and June 14, 2023, the Board of Directors and stockholders of City and Land Developers, Incorporated (“LAND” or the “Company”) approved the 5% stock dividend.

Please refer to the relevant disclosures of the Company on the following dates:

1. C03246-2023 dated April 28, 2023; and
2. C04617-2023 dated June 14, 2023.

As of August 4, 2023, the Company has complied with all applicable requirements for the listing of 75,168,399 shares (the “Stock Dividend Shares”). The number of LAND’s issued, outstanding and listed common shares will be accordingly adjusted on listing date.

The designated Stock Transfer Agent is hereby authorized to record and register in its books the above number of shares.
