Subject of the Disclosure
Alternergy Holdings Corporation (“ALTER”) subsidiary, Alabat Wind Power Corporation (“AWPC”) approves the execution of: (1) Owner's Engineer Agreements with K2 Management A/S of Denmark; and (2) a Memorandum of Agreement (“MOA”) with Quezon 1 Electric Cooperative (“Quezelco 1”) in respect of the Alabat Wind Farm Project.
Background/Description of the Disclosure
Alternergy Holdings Corporation (“ALTER”) subsidiary, Alabat Wind Power Corporation (“AWPC”) through its Board of Directors, approved the execution of: (1) a Memorandum of Agreement (“MOA”) with Quezon 1 Electric Cooperative (“Quezelco 1”) for the parties’ cooperation to construct the 37-km 69kV transmission line from the Alabat Wind Farm Project to the NGCP-Hondagua substation, build the 10MVA Quezelco 1 substation in Alabat, and obtain the ERC’s nod to reclassify the entire facility from Quezelco 1’s connection point to the NGCP-Hondagua substation as a transmission asset; and (2) an Onshore Service Agreement, Offshore Service Agreement and Bridging Agreement for the onshore and offshore services for the services of K2 Management A/S of Denmark as Owner’s Engineer (“OE”) in respect of the Alabat Wind Farm Project, where both foregoing transactions are subject to the DOE's approval of the pending assignment of the Alabat Wind Farm Project’s Wind Energy Service Contract (“WESC”) from Alternergy Tanay Wind Corporation to AWPC.
