Reason for requesting extension to submit Annual Report

The Company anticipates that the SEC Form 17-A could not be filed within the prescribed period set because the Company is still completing the review of its financial statements, and is anticipating that such statements will not yet be finalized within the prescribed deadline. Considering that there are items related to the Company's financial statements that still need to be finalized which will be required for its 17-A report, the Company is constrained to defer the filing of its entire SEC Form 17-A to a later date on or before the fifteenth calendar day following the prescribed due date.
