Reason for requesting extension to submit Annual Report

Chelsea Logistics and Infrastructure Holdings Corp. (the Company or CLIHC) would like to request for an extension to file its Annual Report or SEC Form 17-A for the calendar year December 31, 2023. The Company has yet to finalize the review of its consolidated financial statements and it does not expect to complete such review by 15 April 2024. Since the non-financial portions of the Annual Report will be derived from the contents of the financial statements, the Company is constrained to defer the filing of its entire SEC Form 17-A to a later date. CLIHC undertakes to submit the above report within fifteen (15) days after the original deadline or upon submission to the Securities and Exchange Commission, whichever is earlier.
