Background/Description of the Disclosure

Please be informed that the Company received a copy of the decision of the Supreme Court in Energy Regulatory Commission (ERC) vs. South Premiere Power Corporation, San Miguel Energy Corporation, Manila Electric Company, and National Association of Electricity Consumers for Reforms, Inc. with G.R. Nos. 271341 and 271983 through its external counsel in the afternoon of May 29, 2024.

The First Division of the Supreme Court considered the allegations, issues and arguments in the Petition for Review of Certiorari of the Joint Decision and Resolution of the Court of Appeals dated June 27, 2023 and December 28, 2023, respectively, in C.A. G.R. SP Nos. 176036 and 176037 and denied the petition of the ERC based on “its failure to sufficiently show that the Court of Appeals committed any reversible error in the challenged joint decision and resolution as to warrant the exercise this Court’s discretionary appellate jurisdiction.”
