This is with reference to RL Commercial REIT, Inc.’s (“RCR” or the “Company”) disclosure under Company Announcement Nos. C03807-2024 and C03808-2024, both dated June 6, 2024. In the said disclosure, the Company disclosed that its Board of Directors on June 5, 2024 approved the property-for-share swap between Robinsons Land Corporation (“RLC”) and RCR. The swap will involve the issuance by RCR of 4,987,641,178 primary common shares at the issuance price of Php 6.80 per share, equivalent to a total valuation of Php 33,915,960,000.00 in exchange for eleven (11) malls totaling 278,526 square meters (“sqm.”) of leasable space and two (2) office assets totaling 68,803 sqm. of leasable space.
As previously announced in Disclosure Notice No. DN00076-2024 dated June 6, 2024, the above-mentioned transaction is covered by the Rule on Additional Listing of Securities (the “Additional Listing Rule”) under Article V of the Consolidated Listing and Disclosure Rules of the Exchange.
In compliance with Section 6 of the Additional Listing Rule, the Company submitted the compliant PSE Disclosure Form LR-1 - Comprehensive Corporate Disclosure on Issuance of Shares pertaining to the above-mentioned transaction. Please refer to Company Announcement No. C03870-2024 dated June 10, 2024 for the details.
Pursuant to Section 5 of the Additional Listing Rule, the Exchange will implement a one (1) hour trading halt on RCR’s shares from 9:30 a.m. to 10:30 a.m. today, June 10, 2024.
