Approval of investment in new corporation
Background/Description of the Disclosure

The Board of Directors of Xurpas Inc. ("Xurpas") approved Xurpas' subscription to 211,656 shares of stock or 21.17% shareholdings in Altitude Games Inc. ("Altitude Philippines"), an entity applying for incorporation with the Securities and Exchange Commission. Altitude Philippines is an affiliate of Altitude Games Pte. Ltd. ("Altitude Singapore"), a game development and publishing company based in Singapore, where Xurpas made a substantial investment last year.

In December 2014, Xurpas acquired 24,693,333 shares in Altitude Singapore for a total purchase price of US$740,800. Part of Xurpas' investment in Altitude Singapore was used as payment for its subscription in Altitude Philippines. No new capital was infused by Xurpas in Altitude Philippines.
