Background/Description of the Disclosure
On July 23, 2024, ALTER Shares were acquired by ALTER's Chairman, Mr. Vicente S. Perez, Jr., INDIRECTLY through Vespers Holdings Corporation, which is wholly-owned by Mr. Perez, Jr., as set forth below. NOTE: The acquisition was not undertaken through the market but a person-to-person acquisition between the previous beneficial owner and Vespers Holdings Corporation. ADDITIONAL NOTE: The total number of shares INDIRECTLY held by Mr. Perez, Jr. set forth below are comprised of the 1,700,386,338 shares held by Vespers, the 49,426,000 shares held by QBL, the 130,333 held by Kadluan, and the recently acquired shares herein being reported. Please refer to the Public Ownership Report for the period ending June 30, 2024.
