RE: SPNEC expects entry of foreign investors in Q4

Dear Atty. Go,

We write in reply to the email of the Exchange dated 01 August 2024, addressed to SP New Energy Corporation (the “Corporation”), requesting for additional information in connection with the news article entitled “SPNEC expects entry of foreign investors in Q4” posted in philSTAR.com on 01 August 2024, the article reported in part that:

“MANILA, Philippines — SP New Energy Corp. (SPNEC) of tycoon Manuel V. Pangilinan wants to secure foreign investments for its P200-billion Terra Solar development as early as October this year.

Pangilinan, SPNEC chairman, noted that a “very long list” of actively interested foreign investors eager to partner with them and support the project, which is poised to become the world’s largest solar facility once completed.

‘I think the actual bid date for the binding offer should be Aug. 15. So by the end of August, the (SPNEC) board will have to choose (the investors),’ he said.

Pangilinan earlier said that SPNEC was willing to sell as much as 40 percent of Terra Solar to foreign investors, with the company holding the remaining 60 percent.

‘I still believe we can close this out by Q4 (fourth quarter) of this year,’ he said.

The Corporation hereby clarifies the following:

1. Clarify and/or confirm the information in the above-quoted news article including, but not limited to the Company’s updates and timeline regarding its potential foreign investors by the fourth quarter of 2024 further to the clarification dated May 8, 2024.

We confirm that the Corporation is committed to finalize a deal with a Strategic Investor for Terra Solar Philippines, Inc. (TSPI) in 2024. While the deadline of binding offers is set in mid-August, the Board approval will likely be in September.

We trust that we have clarified the request for information for the benefit of the investing public.

We will apprise the Exchange for any further developments on this matter.
