Ladies and Gentlemen: Please be informed that the Board of Directors of BDO Unibank, Inc. (BDO Unibank), at its regular meeting held on August 31, 2024, approved the following: 1. Election of MR. ALFREDO E. PASCUAL as Independent Director of BDO Unibank Mr. Pascual served as Department of Trade and Industry (DTI) Secretary from June 2022 to August 2024, where he played a crucial role in leading the Philippines through robust economic growth amidst global challenges. At the time of his appointment at DTI, he was serving as the President of the Management Association of the Philippines (MAP). An ardent advocate of good corporate governance, he was also the Lead Independent Director of SM Investments Corporation (since 2017) and an independent director on the boards of other publicly listed companies like Megawide Construction and Concepcion Industrial. His governance advocacy extended to nonprofit organizations, including as President and CEO of the Institute of Corporate Directors (ICD) and as a Board Trustee of the Institute for Solidarity in Asia. From 2011 to 2017, he served as the 20th President of the University of the Philippines (UP) System and Co-Chair of its Board of Regents, where he led the country's premier university through a period of significant transformation. Before UP, Mr. Pascual worked at the Asian Development Bank for 19 years in several positions, including Director for Private Sector Operations, Director for Infrastructure Finance, and Advisor for Public-Private Partnership (Infrastructure Development). His visionary leadership in higher education earned him widespread recognition, including honorary doctorates from UP and four other universities. He also received the Presidential Lingkod Bayan Award from Malacañang and the Rotary Golden Wheel Award for Higher Education. He earned his Master of Business Administration and Bachelor of Science Degree in Chemistry (cum laude) from UP. 2. Promotion of the following Senior Officers from the rank of First Vice President (FVP) to Senior Vice President (SVP), effective February 1, 2024: 1. MS. SUSIE S. CHAM 2. MS. CAROLINE H. GARCIA 3. MR. ROMMEL S. GOMEZ 4. MR. JAIME A. TALINGDAN 5. MS. ALICE O. TEH Ms. Cham is the Region Head of Metro Manila South under Branch Banking Group. She obtained her degree in Bachelor of Science in Commerce major in Business Administration from the University of Santo Tomas, Manila in 1984. Ms. Cham has been with BDO Unibank for twenty-eight (28) years. Ms. Garcia is the Unit Head of Commercial Banking under Cash Management Services of Transaction Banking Group. She finished her Bachelor of Science in Commerce major in Banking and Finance from the College of the Holy Spirit, Manila in 1991. Ms. Garcia has been with BDO Unibank for six (6) years. Mr. Gomez is the Region Head of Northern Luzon under Branch Banking Group. He earned his Bachelor of Arts from the University of Santo Tomas, Manila in 1985. Mr. Gomez has been with BDO Unibank for almost thirty-eight (38) years. Mr. Talingdan is the Group Head of Community Banking Network under BDO Network Bank, Inc. He finished the degree of Bachelor of Science in Commerce major in Accounting from Saint Mary's College, Nueva Ecija in 1988 and earned his Masters in Business Administration from De La Salle University, Manilla in 2004. Mr. Talingdan has been with BDO Unibank for almost thirty-six (36) years. Ms. Teh is the Head of Treasury Marketing under Treasury Group. She obtained her degree in Bachelor of Science in Commerce major in Management from Assumption College, Makati in 1991. Ms. Teh has been with BDO Unibank for twenty-five (25) years. At the same meeting, the Board noted the retirement of MR. MONTIEL H. DELOS SANTOS, Senior Vice President and Head of Treasury Marketing, effective September 1, 2024. Thank you.
