Background/Description of the Disclosure
On behalf of SFA Semicon Co. Ltd. (“SSK”), we hereby notify the Securities and Exchange Commission (“SEC”) of the publication of the announcement by SSK of its intention to conduct a tender offer to acquire approximately 204,875,000 common shares of SFA Semicon Philippines Corporation (“SSP”) equivalent to approximately 10.018% of SSP’s total issued and outstanding capital stock in connection with the proposal for SSP to file a petition for voluntary delisting from The Philippine Stock Exchange, Inc. Attached as Annex A is the said publication in the Philippine Daily Inquirer. Attached as Annex B is an erratum to be published on 3 September 2024 relating to editorial changes and to clarify that the tender offer price should be reflected in Philippine Peso.
