Subject of the Disclosure
This amendment is to provide background in relation to the signing of the Amendment to Mortgage Trust Indenture and Deed of Chattel Mortgage with Philippine Veterans Bank. Benguet Corporation signing of Amendment to Mortgage Trust Indenture and Deed of Chattel Mortgage with Philippine Veterans Bank
Background/Description of the Disclosure
On 22 December 1993, Benguet Corporation ("Company") and Philippine National Bank through its Trust Department ("PNB TBG") acting as Trustee for the creditors, signed the Mortgage Trust Indenture ("MTI") as the security for the loan obligations of the Company under the Restructuring Agreement dated 20 December 1993. Pursuant to the MTI, the remaining creditors of the Company representing 82% of the total principal outstanding loans have decided upon the substitution of PNB TBG as Trustee, and appointing Philippine Veterans Bank ("PVB") as Sucessor Trustee. The signing of the Amendment of the MTI between the Company and PVB was held today, September 3, 2024. The Company hereby discloses that today, September 3, 2024, it signed an Amendment to Mortgage Trust Indenture and Deed of Chattel Mortgage with Philippine Veterans Bank which replaced Philippine National Bank as Trustee in connection with Mortgage Trust Indenture dated 22 December 1993 and Restructuring Agreement dated 20 December 1993.
