Background/Description of the Disclosure
In a notice received today from the Securities and Exchange Commission (“SEC”), the SEC imposed on Steniel Manufacturing Corporation (the “Company”) penalties in the aggregate amount of P 4,439,000.00 as a consequence of its delayed filings of reports (annual, quarterly and current) for 2022 - 2023 and non-holding of the annual stockholders’ meeting in 2023. === [Amendment 08-22-2024] Payment of Partial Assessment In connection with the earlier disclosure on the notice received from the Securities and Exchange Commission (“SEC”) on the penalties resulting from the delayed filings of reports and non-holding of annual meeting, Steniel Manufacturing Corporation (STN) discloses that it paid PhP2,091,700.00 pursuant to the partial assessment made by the SEC. The aforesaid penalties were imposed due to the delayed filing of annual and quarterly reports for 2022 and the non-holding of annual stockholders’ meeting in 2023. Earlier disclosure is being amended to indicate the payment of the partial assessment made by the SEC. === [Amendment 09-05-2024] Payment of Assessment Made by the SEC In relation to the previous disclosures relating to the penalties imposed by the Securities and Exchange Commission (“SEC”) due to the delayed filings of reports and non-holding of annual meeting, Steniel Manufacturing Corporation (the “Company”) hereby discloses that it paid today a total of PhP3,000,000.00 to the SEC. These penalties were imposed due to the belated filings of its quarterly reports for the year 2023.
