Result of the Meeting of the Board of Directors dated 23 September 2024

Background/Description of the Disclosure

Please be informed that the Board of Directors of SUNTRUST RESORT HOLDINGS, INC. (formerly Suntrust Home Developers, Inc.) (the “Company”), at its meeting held today, 23 September 2024, approved the nomination of a longstanding independent director, Mr. Eugenio B. Reducindo (“Mr. Reducindo”), to the incoming Board of Directors as Independent Director. Mr. Reducindo was first elected to the Board of Directors as Independent Director on 17 October 2015.

Under the Company’s Revised Manual on Corporate Governance, an independent director shall serve for a maximum cumulative term of nine (9) years, after which he/she shall be barred from re-election as such in the Company unless the Board of Directors provides meritorious justification for his/her re-election. Below are the reasons that justify his re-election to the Board of Directors as Independent Director:

i. Demonstrated Independence. He has demonstrated that he is capable of independent judgment and providing the Board of Directors with objective advice.

ii. Special Expertise and In-depth Understanding of the Company. He has considerable expertise and experience in the food service industry. Since he has been with the Company for several years and has been with this current Management since it took over, he has in-depth knowledge and understanding of the Company’s operations and well-aware of the unique challenges and opportunities that its business faces. His expertise, experience, and in-depth knowledge of the Company’s operations and business are vital to the Company’s continued growth and not easily replaced.

iii. Stockholders’ Support. The stockholders have been electing Mr. Reducindo to the Board of Directors since 2017, which is a clear showing that he has the stockholders’ trust and support.

Mr. Reducindo concurrently serves as the Managing Director of Choice Gourmet Banquet, Inc. (“Choice Gourmet”), which owns and operates McDonald’s stores and used to operate other restaurants like Shanghai Bistro and SoHo Tea House. He has held this position since 2007. As Managing Director, he is responsible for the overall operations and management of sixteen (16) McDonald’s outlets located within Metro Manila and other provinces such as Cebu and Iloilo. Prior to being Managing Director, Mr. Reducindo was a Branch Manager at Choice Gourmet handling the first McDonald’s branch of the company located at Forbestown Center. He worked for Golden Arches Development Corporation as Branch Manager, for McDonald’s Egypt as Operations Consultant, and for Makati Shangri-La as Assistant Manager for the coffee shop. He has considerable experience in the management and operation of quick service and fine dining restaurants, having been involved in the daily operations of a specific branch, as well as the overall management and operations of several branches/outlets. He graduated in 1989 from the Far Eastern University with a Bachelor’s Degree in Communications.
