Subject of the Disclosure
Proposal to delegate to the Board the authority to appoint external auditor.
Background/Description of the Disclosure
During the recently concluded Special Meeting of the Board of Directors of CEU held in the morning of 11 October 2024, acting on the recommendation of the Audit & Risk Committee, the Board of Directors approved the proposal to delegate to the Board of Directors the authority to appoint the external auditor. The Board also resolved that the proposal be submitted for approval by the Stockholders during the Annual Stockholders Meeting to be held on 25 October 2024. In this connection, since the Definitive Information Statement containing and discussing all the matters for approval by the Stockholders during the Annual Stockholders Meeting to be held 25 October 2024 was already reviewed and cleared by the SEC MSRD and released to the stockholders last 04 October 2024, CEU will be filing an application under Rule 20 of the Implementing Rules of the SRC with the SEC MSRD to be allowed to make changes on CEU's Definitive Information Statement to be able to include the above-discussed matter in the Agenda of the ASM. As such, the inclusion of the above-matter in the 25 October 2024 Annual Stockholders Meeting will be subject to the approval of the SEC MSRD.
Other Relevant Information
Since the matter is subject to the approval by the SEC MSRD, CEU will be providing updates on any developments. Please see 17c Update 15 October 2024 - This is to inform the PSE that the University in the afternoon of 15 October 2024 received an Order from the SEC MSRD approving the request to amend the DIS, subject to compliance with Rule 20, SRC Implementing Rules. The university is currently in the process of complying with these requirements and will further update this report upon satisfaction of these requirements. Update 18 October 2024 - Compliance with MSRD Order No. 91 Series of 2024 completed. Copy of relevant portions of the revised DIS also attached. Changes are highloghted for easy reference. Full revised DIS will also be uploaded in the corresponding disclosure. Update 25 October 2024 - the proposed measure was approved by the stockholders during the 25 October 2024 Annual Stockholders Meeting.
