Oliverio G. Laperal, Sr. vs. Pacifica Inc. Civil Case No. 09-122278, Judgment Based on Compromise Agreement

Background/Description of the Disclosure

On 19 December 2024, the Corporate Secretary received a copy of the Judgment Based on Compromise rendered by the RTC of Manila in Case No. 09-122278 titled Oliverio G. Laperal. Sr. v. Pacifica. Inc., et al. (the “Case”). The said decision in the Case stemmed from a Compromise Agreement entered into between Pacifica, Inc. (“Company”) and the Laperal Family wherein the Laperal Family agreed for the Company to: (i) receive and recognize payments from the Laperal Daughters (Victorina L. Laperal, Rosamaria L. Laperal, Regina L. Concepcion, Alexandra L. Laperal); and (ii) consider the shares of stock in Pacifica as being owned by said Laperal Daughters in their own right. Further, the Laperal Family agreed to consider said shares as advances to their legitime from the Laperal Estate and reallocate shares among themselves and allow Pacifica to record the reallocated shares in their respective names.

By the way of background, on 12 October 2009, Oliverio Laperal Sr., (“Oliverio Sr.”) filed a Petition for Injunction against the Company before Branch 24 of the RTC of Manila in Case No. 09-122278 titled Oliverio G. Laperal. Sr. v. Pacifica. Inc.,et al. (the “Case”) assailing Pacifica’s receipt of the Laperal Daughters’ payments of their unpaid subscription balances and claiming ownership over the shares under the name of Oliverio Laperal Jr., (“Laperal Jr.”) and the Laperal Daughters.


The Laperal Estate, under the Compromise Agreement has committed itself to pay Pacifica’s counterclaim for attorney’s fees and other litigation expenses amounting to Php 450,000.00. Pacifica has agreed to issue stock certificates to the Parties upon payment of the Php 450,000.00 but no later than 60 days from Pacifica’s receipt of the Order granting the same. Pacifica has waived all other claims and counterclaims arising from, or in connection with the Case.

The issue before the court is the determination of the true and beneficial owner of the subscribed shares of stocks and to whom among the parties should the stock certificate be issued to by the Corporation.
