Subject of the Disclosure
Nickel Asia Corporation and Sumitomo Metal Mining Co., Ltd. had jointly signed a Special Purchase Agreement with regards to the formers proposed sale of its entire shareholding in Coral Bay Nickel Corporation.
Background/Description of the Disclosure
Further to the January 7, 2025 disclosure of Nickel Asia Corporation (“NAC”) regarding the negotiations with Sumitomo Metal Mining Co., Ltd. (“SMM”) for the proposed sale of all of NAC's shareholdings in Coral Bay Nickel Corporation ("CBNC") equivalent to 15.625% of the total outstanding and issued capital stock of CBNC ("CBNC Shares"), NAC discloses that it has jointly signed a Share Purchase Agreement (SPA) with SMM effective today, for the sale of all of the CBNC Shares in accordance with the terms and conditions of the SPA. The purchase price of the CBNC Shares is based on the carrying amount of the CBNC Shares in NAC's financial statements as of September 30, 2024.
