2nd Quarter 2025 Foreign Currency Differential Adjustment

Background/Description of the Disclosure

Please be informed that we received the approval of the Metropolitan Waterworks and Sewerage System (“MWSS”) in MWSS Board of Trustees Resolution No. 2025-026-RO dated March 12, 2025 for Manila Water Company, Inc.’s (the “Company”) implementation of a Foreign Currency Differential Adjustment (“FCDA”) of 1.39% of the 2025 Average Basic Charge of PHP47.10 per cubic meter or PHP 0.65 per cubic meter, pursuant to the provisions of Amendment to the Revised Concession Agreement (“Amended RCA”). The tariff shall be adjusted upward by an average of PHP0.04 per cubic meter effective April 1, 2025.

As provided in the Amended RCA between MWSS and the Company, the FCDA is a pass-through charge to account for foreign exchange losses or gains arising from the Company’s payments of specific concession loans identified in the Amended RCA. The FCDA has no impact on the projected net income of the Company.
