Approval on the additional subscription of AMB. ALC Holdings and Managment for 3,065,000 shares from the unsubscribed authorized capital stock of Citystate Savings Bank Inc.
Background/Description of the Disclosure
In compliance with the disclosure requirement of the Philippine Stock Exchange (PSE) and Securities and Exchange Commission (SEC), please be advised that by virtue of the resolution of the Board of Directors of Citystate Savings Bank, Inc. (CSBank) dated 26 February 2025, a Subscription Agreement was entered into by and between CSBank and AMB. ALC Holdings and Management on 19 March 2025 for the 3,065,000 CSBank Shares (with par value of P16.97) amounting to FIFTY-TWO MILLION THIRTEEN THOUSAND FIFTY PESOS. (Php 52,013,050.00). The Agreement was executed to comply with the documentary requirements of SEC in connection with the subscription of AMB. ALC Holdings and Management to the unsubscribed portion of the authorized capital stock of the Bank. Since the subscription pertains to less than 10% of the total issued and outstanding capital stock of CSBI, the Rule on Additional Listing of Shares will not apply.
