Xurpas Inc. (the “Company”) would like to request for an extension of time to file its Annual Report under SEC Form 17-A for the year ended December 31, 2024. SEC Form 17-A could not be completed within the prescribed period because the Company has not completed the review of its 2024 consolidated financial statements. Likewise, the Company’s external auditor, SyCip Gorres Velayo & Co., has yet to complete the review of the Company’s consolidated financial statements of the Company and its subsidiaries, and it does not expect to complete its review by April 15, 2025.
Furthermore, since the nonfinancial portions of the Annual Report will be derived from the contents of the financial statements, the Company is constrained to defer the filing of its entire SEC Form 17-A to a later date, within the fifteen-day extension allowed by the SRC Rules. |
