Reply on investor query on the Company's Annual Report for year 2024

Information Requested

This is in compliance with your directive to the Company to response and/or provide details to the investing public who inquire concerning the disposition of the certain assets as reported on the Annual Report of WPI for the year 2024.

In view thereof, please find below requested details of the said transactions:

1. The P1.76 billion gain on sale of assets in Note 9 of the 2024 consolidated AFS of WPI pertains to the disposition of land by Grand Ilocandia Resort and Development, Inc. (GIRDI). Sale of land adjacent to the Fort Ilocandia Resort was approved by the GIRDI board on April 18, 2024, and two Deeds of Absolute Sale were signed by GIRDI on June 20, 2024 and August 2, 2024, respectively.

2. A total of 574,680 square meters of land in Ilocos Norte, adjacent to the Fort Ilocandia Resort was sold. The first Deed of Absolute Sale signed on June 20, 2024 pertained to 305,575 square meters while the second Deed of Absolute Sale signed on August 2, 2024 pertained to 269,105 square meters.

3. The purchase price for the above-mentioned parcels of land is P2.06 billion.
4. The fair market value of the land formed the basis of the consideration and /or purchase price.
5. The land was sold to Megaworld Corporation.
6. As a result of the transaction, a gain on sale of assets of P1.76 billion was booked by Grand Ilocandia Resort and Development Inc. (GIRDI).
