Background/Description of the Disclosure
We disclose that in its special board meeting and annual stockholders’ meeting held today, the Board of Directors and shareholders of Globe Fintech Innovations, Inc. (the “Company”) approved the amendment of Article Seventh of the Company’s Articles of Incorporation by amending the number of its common shares and par value from Two Billion One Hundred Forty-Nine Million Seven Hundred Seventy-Three Thousand Six Hundred Twelve (2,149,773,612) common shares with a par value of One Peso (PhP1.00) per share, to Seventy-One Billion Six Hundred Fifty-Nine Million One Hundred Twenty Thousand Four Hundred (71,659,120,400) common shares with a par value of Three Centavos (PhP0.03) per share. The Company’s authorized capital stock of Two Billion One Hundred Forty-Nine Million Seven Hundred Seventy-Three Thousand Six Hundred Twelve Pesos (PhP2,149,773,612.00) will remain the same. We will make the pertinent disclosure once the Company has obtained the approval of the Securities and Exchange Commission (SEC).
