Description of the Disclosure

Please see attached amended Integrated Annual Corporate Governance Report (I-ACGR) of International Container Terminal Services, Inc. (ICTSI). To comply with SEC Memorandum Circular No. 15 Series of 2017 where Publicly Listed Companies are mandated to submit the I-ACGR every 30th day of May, ICTSI submitted its I-ACGR without the signature of one out of the six required signatories. Mr. Carlos E. Ejercito, an Independent Director, was out of the country from May 18, 2025 until June 3, 2025. While Mr. Ejercito expressly approved the I-ACGR, wet-ink signing and notarization for Mr. Ejercito outside the Philippines could not be carried out in time for the submission due date. With his return last June 3, 2025, we have completed the signatures for and notarization of the I-ACGR. Thus, we earlier submitted via eFast an amended I-ACGR duly signed by all the requires signatories and notarized.
