Please be informed that at its special meeting held today, 27 June 2025, the Board of Directors of Dominion Holdings, Inc. (the Company) approved the following: 1. Acceptance of the resignation of Ms. Rebecca S. Torres as Director effective June 30, 2025. 2. Election of Ms. Lucy C. Dy as Director of DHI effective July 1, 2025. Lucy C. Dy, 70, Filipino, is a Consultant of BDO Unibank, Inc. She holds the position of Director of BDO Life Assurance Company, Inc., BDORO Europe, Ltd. and BDO Rental, Inc.; Director & Treasurer of BDO Strategic Holdings, Inc. and Ivory Homes, Inc.; Chairperson/Director of BDO Remit Limited; and Trustee & Treasurer of BDO Foundation, Inc.; and Treasurer of BDO Capital & Investment Corporation and BDO Insurance and Reinsurance Brokers, Inc.
